Objectives
Students will have theoretical and practical knowledge useful for interpreting the economic and accounting profiles of various extraordinary transactions (mergers, demergers, etc.).
Students will be able to apply the knowledge acquired to companies in the main industrial, commercial and service sectors.

PART I - COMPANY EVALUATION.
THE EVALUATION PARADIGM. THE ACTIVITY OF THE EXPERT. THE VALUATION PRINCIPLES. LEVERS OF VALUE: ECONOMIC AND FINANCIAL FLOWS, RATE, TIME HORIZON. THE ASSESSMENT METHODS.

PART II - EXTRAORDINARY TRANSACTIONS AND VALUE CREATION
COMPANY ACQUISITIONS. BUSINESS TRANSFER. LIQUIDATIONS. THE LEVERAGED BUYOUT. COMPANY TRANSFORMATIONS. THE MERGERS. COMPANY SPLITTING. PROJECT FINANCING.

TEACHING METHODS
THE COURSE INTENDS TO DEVELOP THE LEARNING SKILLS THROUGH THE USE OF TEACHING METHODOLOGIES AIMED AT STIMULATING A PROACTIVE STUDY APPROACH (LECTURES, PRACTICAL EXERCISES, SEMINARS, INDEPENDENT LEARNING).
LEARNING SKILLS WILL ALSO BE STIMULATED BY THE USE OF ADDITIONAL DIDACTIC SUPPORTS (OFFICIAL DOCUMENTS, ARTICLES, APPLICATION CASES, ETC, OTHER MATERIALS) TO FAVOR THE THEORETICAL AND PRACTICAL LEARNING OF THE TOPICS COVERED.
Verification of learning
THE EXAMINATION CONSISTS OF TWO COMPULSORY PARTS, A WRITTEN TEST AND AN ORAL INTERVIEW. EACH PART IS ASSIGNED A MARK AND THE AVERAGE OF THESE MARKS IS CONVERTED INTO THIRTIETHS TO GIVE THE FINAL GRADE. AN EXAM IS DEEMED TO BE PASSED SUCCESSFULLY IF THE FINAL GRADE IS EQUAL TO OR HIGHER THAN 18/30. IN THE EVENT OF A FULL GRADE (30/30), THE EXAMINATION BOARD MAY GRANT HONOURS (LODE). THE ORAL INTERVIEW CAN ONLY BE TAKEN ONCE THE STUDENT HAS PASSED THE WRITTEN EXAM WITH A MINIMUM MARK OF 18/30.
THE WRITTEN TEST TAKES ABOUT 60 MINUTES AND AIMS AT ASSESSING THE ABILITY TO APPLY THE ACQUIRED KNOWLEDGE AND THE ANALYTICAL INSTRUMENTS.
THE ORAL INTERVIEW TAKES ABOUT 20 MINUTES WITH A DISCUSSION ON THE THEORETICAL AND METHODOLOGICAL TOPICS PRESENTED DURING THE COURSE TO ASSESS THE LEVEL OF KNOWLEDGE AND THE ABILITY AND THE QUALITY OF ORAL EXPOSITION.
